Max5 right? This is a known bug. http://www.cgarchitect.com/ubb/ultimatebb.php?ubb=get_topic;f=11;t=000249 This has been discussed before also at Discreet's forum (http://support.discreet.com/webboard/wbpx.dll/read?71859,9e#71859). The only solution I found is to keep a shortcut of your maxstart.cui file (found in ../3dsmax5/UI/maxstart.cui) on your desktop. Everytime you close Max, open this file. Hit CRTL+F and search for layers. You sould find something like this:

Item 2 is what is screwed up by MAX eveytime it closes. See the extra code added at the end after "|". Delete whatever is there. This way the next time you open Max your layer drop down will be there.

 

This bug really ticked me off considering the price of the software. But in Max6 it is gone, plus the layer manager is much better in 6. Anyhow, this is the only solution (other than buying Max6) I found for this bug in Max5. Someone suggested to make the maxstart.cui file read-only but this results in an error msg from max when you try to close. Plus it doesn't work.
