problem merging model to scene

Hi guys this is my 1st post here and let me say that this forum is really really helpful I read a lot of threads and got my answers on almost all of them but I'm kind of stuck over here

 

my problem is trying to merge a model to my scene, the merged model isn't exactly as it should be, 1st the model merge in the center of the scene, 2nd merged model is really big but I can scale it, that isn't a big deal , but the model merge upside down =/

 

I try to xref the object to the scene and happens the same thing.

 

But the curious think is that I try to open a new scene and merge the working scene and merge as xref object the model and seems to work but I don't know if that's the way I should work :S
