Take the example of dwgA, with reference attached dwgB, with a reference attached dwgc. Opening up dwgA would show dwgB and dwgC.

 

Take the example of dwgA, with reference overlay dwgB, which links to reference overlay dwgC. Opening up dwgA would only show dwgB - dwgC will not show.

 

Opening up dwgB would show dwgC.

 

Overlay links only one level down a nested xref chain whereas "attached" links down the whole chain until the first overlay it encounters.

 

Possible application - imagine a plan overlay xrefed to a grid and this grid overlay xrefed to the same plan. If we had used "attached" xrefs, we would have an issue with circular xrefs ie, plan xref grid xref plan. Using the overlay however, the plan will only show the xrefed grid and working on the grid will show the xrefed plan. This will allow you to work on the plan with the context of the grid, and on the grid in the context of the plan.
