Why should I upgrade from MaxDesign09 to MaxDesign12?...

I think compatibility is one reason. In a few years you may not be able to open a current file with your 2009 version. At some point you'll need to upgrade. Now is not the time imo.

Even though I hate the Autodesk subscription, because i get nothing out of it, I just like walking into a clients office with the latest version while their still on max 08.

Most of the better upgrades came to viewport speeds, though I'm not on the Nitrous bandwagon. But the DirectX performance seems to bit better in 12/13 than 09. The UVW Unwrap tool set got a lot better. Not to mention graphite modeling tools make your life a bit easier as it adds some functionality that 09 required an extra script like n-loop selection for edges, shift ring/loop, hinge from edge, advanced painter, etc. Most of the major upgrades come to the modeling/production tools side, so if you are just using max to render then upgrading may not seem like a worth while investment.

The only semi-decent upgrade that only 2013 has is the Revit interoperability and that has guarded optimistic promise, at least in small to medium scale projects.

All in all, eventually you will have to upgrade. Even if it's just for the later version of Vray(if you use it) as I can't image they are putting much support into 09 anymore. But, in my opinion, 09 was the last great release of Max so I too would hold on to it if I wasn't forced to upgrade along the way.

Another point is that upgrade costs will be increased a serious amount beginning 2013. Essentially you will have to ALWAYS pay 70% of the price of a complete new seat, regardless wether you are just one version behind or six versions. Subscription costs will go up too AFAIK
