I'm not the only one I'm sure who has tried to import Illustrator files only to end up with a mess of a spline and far too many vertices to make it useful to edit. The trick is to save the Illustrator file as version 8, this way it imports perfectly to 3dsmax with the same vertices and bezier handles as the original file!
